TERMS AND CONDITIONS FOR CLEANING CHIEF NYC INC.

Effective Date: 29 March 2021

1. SCOPE OF SERVICES

Cleaning Chief NYC Inc. (“Cleaning Chief,” “we,” “us,” or “our”) offers a wide range of professional cleaning services, including but not limited to:

Maid Service: Regular cleaning services for residential properties.

Commercial Cleaning Service: Cleaning services tailored for office spaces, retail environments, and other commercial premises.

Airbnb Vacation Rental Cleaning: Turnover cleaning services designed for short-term rental properties, including inventory checks, restocking essentials, and ensuring the property meets guest-ready standards.

Deep Cleaning: Intensive cleaning services, covering areas typically missed in regular cleanings.

Eco Cleaning Service: Environmentally friendly cleaning using non-toxic and biodegradable products.

Laundry Service: Washing, drying, folding, and ironing services.

Move In/Out Cleaning: Comprehensive cleaning services for properties before or after moving.

Post-Construction Cleaning: Cleaning services following construction or renovation projects, including debris removal and detailed cleaning.

Special Event Cleaning: Pre- and post-event cleaning services for gatherings, parties, and corporate events.

Carpet & Upholstery Cleaning: Steam extraction cleaning for carpets, rugs, and upholstered furniture.

Customer-Provided Tools: Cleaning Chief NYC Inc. provides most of the cleaning supplies and equipment required for services. However, clients must provide certain items, including but not limited to:

• A vacuum cleaner

• A mop and bucket

• A step stool

• A toilet brush

• Any specialty cleaning products (e.g., heavy-duty bathroom cleaner, wood cleaner, bleach, or stainless steel cleaner)

Clients should ensure these items are available in clear view for the cleaners to use. If these items are not provided, Cleaning Chief will not be responsible for incomplete services related to their absence.

Additional Services:

Clients may request additional services such as laundry, bedding changes, cleaning inside the fridge or oven, baseboards and radiators cleaning, interior window or wall cleaning, pet hair removal, cabinet cleaning (interior or exterior), patio or balcony cleaning, full home disinfection, hand wash dishes, organizing/packing, laundry wash and fold, and eco-friendly green cleaning, all of which will be charged separately from standard service packages.

Service Modifications:

Cleaning Chief reserves the right to modify, expand, or discontinue services at any time without prior notice, provided such changes do not affect existing contracts.

2. PAYMENT TERMS

Upfront Payments: Full payment is required for one-time and first-time services at the time of booking. Payment confirms the appointment and ensures the booking is secured.

Deposits: For certain high-value or specialty services, including but not limited to post-construction cleaning, deep cleaning, and large commercial contracts, a non-refundable deposit of 50% is required at the time of booking. This deposit will be retained if the client cancels or reschedules within the penalty period.

Post-Service Payments: For recurring services, including subscription models, payments are due immediately upon completion of each service. Invoices will be sent electronically, and clients are expected to settle the invoice immediately upon receipt.

Subscription Services: For clients enrolled in monthly or weekly subscription plans, payments are due at the beginning of each billing cycle. Subscription fees will be automatically charged to the client’s payment method on file unless otherwise arranged.

Late Fees: Payments not received within 7 days of the due date will incur a late fee of 1.5% per month on the outstanding balance. Continued non-payment may result in service suspension or termination, and outstanding balances may be referred to a collection agency.

Authorization to Charge:

• By agreeing to these Terms and Conditions, the client authorizes Cleaning Chief to charge the credit card or bank account on file for any unpaid balances, including but not limited to service fees, cancellation fees, deposits, late fees, and charges for additional services requested by the client.

• In the event that the payment method on file is declined, the client agrees to provide an alternative payment method promptly. Failure to do so may result in service suspension or legal action to recover the outstanding balance.

Refunds and Credits:

• Refunds for prepaid services will be processed according to the terms outlined in the cancellation policy.

• Credits for future services may be offered at Cleaning Chief’s discretion.

3. CLIENT OBLIGATIONS

To ensure a safe and efficient cleaning service, clients agree to:

Provide Access: Clients must ensure that Cleaning Chief employees have unobstructed access to the premises at the scheduled time. This includes providing keys, access codes, or ensuring someone is present to allow entry. Failure to provide access may result in a cancellation fee as outlined in the cancellation policy.

Secure Pets: Clients must secure pets in a manner that ensures the safety of both the pets and Cleaning Chief employees. Cleaning Chief will not be responsible for pets escaping or being injured during service unless directly caused by employee negligence.

Safe Environment: The client is responsible for ensuring that the premises are free from hazards that could endanger the safety of Cleaning Chief employees. This includes ensuring that there are no dangerous chemicals, unstable structures, or other risks present.

Preparation for Service: Clients are encouraged to declutter the service area prior to the arrival of Cleaning Chief employees. This allows the cleaning team to focus on deep cleaning tasks rather than organizing items. Cleaning Chief reserves the right to decline tasks outside the scope of agreed services.

4. SERVICE GUARANTEES

Cleaning Chief is committed to providing high-quality service and offers the following guarantees:

Satisfaction Guarantee: If a client is not satisfied with the service provided, they may request a re-clean within 48 hours of the original service. Cleaning Chief will make every effort to address the client’s concerns and rectify any issues.

Re-Clean Policy: Requests for re-cleans must be submitted within 48 hours of the service. The re-clean will be scheduled at a mutually convenient time, typically within 5 business days. Once a re-clean has been provided, no further claims regarding the original service will be entertained.

Limitations:

• The satisfaction guarantee applies only to the areas and tasks specified in the original service agreement. Additional tasks or areas not included in the original scope will be subject to additional charges.

5. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Cleaning Chief NYC Inc. shall not be liable for:

Indirect or Consequential Damages: Any indirect, incidental, or consequential damages arising from the services provided, including but not limited to lost profits, loss of business opportunities, or loss of use of property.

Loss, Theft, or Damage to Property: Any loss, theft, or damage to property, unless directly caused by the gross negligence or willful misconduct of Cleaning Chief employees. Clients are advised to secure valuables before the service begins.

Personal Injury: Any injuries or accidents occurring on the client’s premises, except where directly caused by the negligence of Cleaning Chief employees. Clients are responsible for maintaining a safe environment during the service.

Third-Party Actions: Cleaning Chief shall not be liable for any actions or omissions by third-party service providers, subcontractors, or vendors involved in the provision of services.

Grout and Caulking Issues: Cleaning Chief NYC Inc. will not assume responsibility for the restoration of severely worn, stained, or mildewed caulking or grout. Clients are encouraged to monitor and maintain these areas, as damages that occur due to pre-existing conditions will not be covered under our liability policy.

Maximum Liability:

• In any event, Cleaning Chief’s total liability shall not exceed the total amount paid by the client for the specific service in question.

Insurance Coverage:

• Cleaning Chief NYC Inc. may utilize subcontractors for certain services. Subcontractors carry their own liability insurance and are solely responsible for any damages, claims, or liabilities arising from the services they perform. Cleaning Chief NYC Inc. is not liable for any actions, omissions, or negligence by subcontractors. Clients are encouraged to maintain their own insurance coverage for their property.

6. PRIVACY POLICY

Cleaning Chief NYC Inc. values client privacy and takes the protection of personal information seriously. Please refer to our separate Privacy Policy document for details on how we collect, use, and protect your personal information.

Client Data:

• Client information, including contact details, service history, and payment information, will be stored securely and only accessed by authorized personnel. Cleaning Chief will not share client information with third parties except as required by law or as necessary to perform services.

7. TERMINATION OF AGREEMENT

Either party may terminate the service agreement under the following conditions:

By the Client: The client may terminate services by providing 7 days’ notice in writing. Any services scheduled within the notice period will still be subject to the cancellation policy.

By Cleaning Chief: Cleaning Chief reserves the right to terminate services immediately if the client breaches any terms of the agreement, including non-payment, or if the environment is deemed unsafe for employees. In such cases, no refunds will be issued for terminated agreements.

Prohibition on Solicitation of Cleaners: Clients are strictly prohibited from soliciting or employing any current or former Cleaning Chief NYC Inc. cleaners for direct or indirect employment for a period of 18 months following the last cleaning service. Should a client hire or offer employment to a Cleaning Chief cleaner during this time, the client will be liable for a $25,000 referral fee. Any illegal hiring activity will be reported to the appropriate authorities, and attorney fees related to enforcement of this clause will be borne by the client.

Effect of Termination:

• Termination of the agreement does not absolve the client of any outstanding payments for services rendered. Cleaning Chief reserves the right to pursue legal action to recover unpaid balances.

8. DISPUTE RESOLUTION

To resolve disputes efficiently, Cleaning Chief NYC Inc. employs the following resolution methods:

Mediation: Any disputes arising from or related to this agreement shall first be attempted to be resolved through mediation. Both parties agree to engage in good faith efforts to resolve disputes amicably with the help of a neutral third-party mediator. Mediation is non-binding but often results in mutually agreeable outcomes.

Binding Arbitration: All claims and disputes (whether contract, tort, or otherwise) arising out of or relating to these Terms or the use of services that cannot be resolved in small claims court will be resolved by binding arbitration in accordance with the rules of the American Arbitration Association (AAA). Arbitration will be conducted by a single, neutral arbitrator, and the decision will be final and enforceable in any court of competent jurisdiction. Both parties waive the right to a jury trial in favor of arbitration.

Non-appearance Arbitration: If non-appearance arbitration is chosen, the arbitration will be conducted by telephone, written submissions, or online, without any in-person meetings.

Small Claims Court: For disputes falling within the monetary limits of small claims court, either party may pursue resolution in that forum.

Jurisdiction:

• All disputes, including those resolved through arbitration or small claims court, shall be governed by the laws of the State of New York.

9. GOVERNING LAW

This agreement, and any disputes arising out of or in connection with it, shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

10. MODIFICATIONS TO TERMS

Cleaning Chief NYC Inc. reserves the right to modify or amend these Terms and Conditions at any time. Clients will be notified of any material changes via email or through our website at least 30 days prior to the changes taking effect. Continued use of our services after such notification constitutes acceptance of the modified terms.

Review and Updates:

• These Terms and Conditions will be reviewed annually; however, Cleaning Chief is not obligated to maintain a log of changes or to apply updates unless deemed necessary by management.

11. SEVERABILITY

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be deemed modified to the minimum extent necessary to make it enforceable. If such modification is not possible, the relevant provision shall be deemed deleted. The validity and enforceability of the remaining provisions shall not be affected.

12. ENTIRE AGREEMENT

These Terms and Conditions, along with any other documents referred to herein, constitute the entire agreement between Cleaning Chief NYC Inc. and the client. This agreement supersedes all prior understandings, agreements, or representations, whether written or oral, concerning the subject matter hereof.

13. WAIVER

No failure or delay by Cleaning Chief NYC Inc. in exercising any right or remedy provided under these Terms and Conditions shall operate as a waiver of such right or remedy, nor shall any single or partial exercise of any right or remedy preclude the exercise of any other right or remedy.

14. NOTICES

Any notices required to be given under these Terms and Conditions shall be in writing and delivered to the other party by email, postal mail, or in person.

15. COMPLAINTS AND EVIDENCE

If the client has a complaint regarding the quality of the cleaning services, they must provide photo or video evidence of the issue within 24 hours of the service. Complaints submitted without such evidence may not be considered.

Additionally, if the client refuses to allow Cleaning Chief NYC Inc. to take before-and-after photos or videos of the service, they waive the right to raise any complaints regarding the quality or completeness of the cleaning.

16. CANCELLATION AND RESCHEDULING POLICY

Notice Periods:

Residential Clients: Clients must provide at least 48 hours’ notice to cancel or reschedule a standard appointment without incurring any fees.

Commercial and Airbnb Clients: A minimum of 72 hours’ notice is required to cancel or reschedule any cleaning service to avoid cancellation fees.

Cancellation Fees:

Residential Cleaning Services:

Same-Day Cancellations: Cancellations made on the same day as the scheduled appointment will incur a 100% cancellation fee.

Day-Before Cancellations: Cancellations made the day before the scheduled service will incur a 50% cancellation fee.

Two Days Before: Cancellations made two days before the service will incur a 25% cancellation fee.

Commercial and Airbnb Cleaning Services:

Same-Day Cancellations: Cancellations made on the same day as the scheduled appointment will incur a 100% cancellation fee.

Day-Before Cancellations: Cancellations made the business day before the scheduled service will incur a 50% cancellation fee.

Two Days Before: Cancellations made two business days before the appointment will incur a 25% cancellation fee.

Rescheduling Policy:

• Rescheduling on the same day of the appointment is treated as a cancellation and will incur a 100% cancellation fee.

• Rescheduling the day before the appointment will incur a 25% rescheduling fee.

Inability to Gain Entry:

• If our employee is unable to gain access to the premises at the scheduled time, it will be treated as a same-day cancellation and will incur a 100% cancellation fee. Clients are responsible for ensuring access to the property.

Subscription Program Considerations:

• For clients enrolled in subscription plans, you may reschedule or cancel appointments by 8 PM the day before without fees. Changes made after this deadline will incur a $75 fee per cleaner, and full charges will apply if changes are made within 2 hours of the start time.
